Initially I was employed on an 8 months maternity leave contract covering the Head of Legal for Corporate & Commercial. My contract was subsequently extended to manage three large internal projects to review, update and draft legal documentation for different areas of the bank. During my time at ADCB, I worked with various departments including Investment Banking Group, HR, Compliance, Group Operations, IT, and Marketing, as well as with other entities within the ADCB Group. Duties and responsibilities included: -+ drafting, negotiating and reviewing a wide range of commercial documents and agreements (e.g. supply of goods/services contracts), IT contracts, leases, employment contracts, constitutional documents, joint venture and shareholder agreements, and non-disclosure agreements+ responding to day-to-day legal queries and providing legal support to a wide range of internal clients, identifying legal risks and proposing strategies and recommendations to mitigate such risks+ advising on general contract, corporate and commercial law issues, as well as on UAE retail/consumer banking and wealth management matters (including UAE Central Bank and SCA rules and regulations)+ instructing and managing external counsel

In 2013, I took a sabbatical and spent nine months in South America learning Spanish and travelling through Colombia, Ecuador, Peru, Chile, Argentina and Uruguay.

General corporate role specialising in international M&A transactions, joint ventures, commercial contracts, employment and regulatory affairs in the Middle East.+ M&A and Joint Ventures: drafting and negotiating transaction documentation for share purchases, asset purchases and joint venture arrangements. International deals included the sale of a number of luxury hotels across Africa and South East Asia, and a UAE joint venture between a major US-based health care company and a local hospital group.+ Commercial: various contractual arrangements including master license agreements, supply of services agreements and general commercial contracts; miscellaneous legal and regulatory advice across a range of corporate and commercial matters, including contractual disputes.+ Employment: advising clients on all aspects of local employment and labour law; compliance with UAE employment laws and regulations; drafting and reviewing Employment Contracts, Company Handbooks and Internal Policies and Procedures.

General corporate role with a strong emphasis on international joint ventures, inward investment, M&A, commercial contracts, employment and regulatory affairs in the Middle East.+ Corporate, M&A and Joint Ventures: drafting and negotiating transaction documentation; transaction management, execution and completion; managing due diligence exercises and reports; domestic and international deals included proposed investments in various UAE infrastructure projects, and joint venture arrangements in the financial services, real estate and defence sectors.+ Corporate Structuring and Inward Investment: advising on structuring options for inward investors; company incorporation and constitutional documents; legal, regulatory, licensing and compliance advice on all areas of inward investment.+ Commercial: various contractual arrangements for multinationals including master license agreements, franchise agreements and supply of services agreements; general corporate, commercial and contractual advice on a wide range of legal matters including insolvency, data protection and privacy, and anti-corruption and bribery; contractual disputes and resolution; multi-jurisdictional analyses and surveys across MENA.+ Employment: regularly advised clients operating or seeking to operate in the UAE on all aspects of local employment and labour law; employment contract drafting and review; drafting and reviewing internal policies and procedures; employment disputes and termination.
