As Manager Governance & Compliance and Company Secretary my responsibilities include:• perform the Company Secretary role for the majority of the SPVs within the operational portfolio (21 assets under management in the operational and delivery portfolio);• manage the group wide insurance program at a corporate and operational portfolio level (including renewal of corporate and project insurances, gap insurance analysis, taking out additional insurances, manage valuation program, etc.) within all jurisdictions;• manage corporate compliance for all Australian SPVs across the operational and delivery portfolio;• lead the Modern Slavery reporting for the Group (corporate level and SPVs that are required to report) since the Modern Slavery Act 2018 (Cth) came into effect;• responsible for maintaining and updating the whistleblower program;• perform the Compliance Manager role for the relevant Plenary AFSL’s in place (including managing potential variations) and provide annual refresher updates to staff on AFSL conditions and regulatory requirements;• owner of several corporate policies, ensure regular review and development of relevant company policies as required;• assist in managing corporate governance across the group and improving processes to achieve best practice (e.g. delegations of authority; subsidiary charters, input in corporate governance statement, etc.);• actively inform relevant directors and roll out the director identification number changes (in 2022) and ensure compliance across our portfolio;• manage FIRB register and compliance;• member of the RAP working group.
