• Represented developers of renewable energy projects in the negotiation of: (i) corporate entity formation documentation, (ii) critical path project development documents such as EPC contracts, feedstock and off-take agreements, risk management agreements, and operating agreements, (iii) financing documentation for both debt and equity components such as construction/term loans and private placement memorandums, (iv) all forms of real estate documentation, and (iv) letters of intent.• Extensive experience with utility mergers and acquisitions.• Extensive experience in the structuring and negotiating of a wide variety of energy related commercial transactions in both the public and private sectors, including wholesale and retail gas and electric commodity supply agreements, energy aggregation programs, HVAC and demand side management projects and financing arrangements, as well as large scale e-commerce transactions involving advanced utility metering and consumer communications systems.• Experience with utility bankruptcy and restructurings.
