Compliance/Regulatory • Oversee the Company’s compliance with laws applicable to footwear and apparel, including EPR, packaging, labeling and consumer safety • Identify and assess regulatory risks associated with product development/claims, advertising, sustainability and manufacturing • Perform compliance and risk assessments and conduct trainings on global compliance, including anti-corruption and anti-bribery • Review policies and advise key stakeholders on social compliance and factory audits, and transparency, traceability and risk management in the Company’s supply chain • Advise the Company on customs, trade compliance and forced labor risks and regulations Corporate Governance/ESG • Assist General Counsel with Board of Director, corporate governance and shareholder matters, including preparation of Board and Committee meeting agendas, materials, minutes, and resolutions • Assist GC with securities compliance, including preparation and review of SEC and NYSE filings • Assist GC with the Company’s ESG program, preparation and review of ESG reports, climate/GHG emissions and related disclosures • Annually review/revise company policies and corporate guidelines Brand Protection • Collaborate with key business leaders to design and implement brand protection policies and enforcement, including unauthorized and counterfeit selling, MAP policies, quality control, and grey market controls Real Estate • Manage and provide strategic legal advice on all aspects of real estate and leasing for the Company’s retail stores, distribution centers and office spaces, in the U.S. and internationally • Review, revise and negotiate leases, sale and acquisition documents and manage real estate risks and disputes Commercial Contracts • Review/maintain key Company contracts, including manufacturing and sourcing agreements, wholesale, resale and customer agreements • Review/negotiate various customer, salesperson, vendor and direct procurement agreements

• Serving as outside General Counsel to businesses regarding day-to-day operations, corporate governance, contract review and advice, and document review, preparation and negotiation• Assisting closely held and medium-sized businesses in formation, operation, planning, transitioning ownership, restructuring and termination• Drafting and negotiating all types of corporate governance documents and business agreements, including bylaws and operating agreements, shareholder agreements, buy-sell agreements and stock/membership interest purchase agreements• Drafting, reviewing and negotiating commercial agreements, including vendor agreements, license agreements, confidentiality agreements, privacy policies and terms of use• Advising clients in connection with commercial and residential real estate acquisitions and sales, including all elements of due diligence, survey, title, document preparation and review and closings • Drafting lending documents, including land contracts, mortgages, promissory notes and guarantees• Commercial and residential lease drafting and negotiation• Advising medium-sized and closely held businesses with regards to sales, mergers and acquisitions, including conducting due diligence and document review, preparation and negotiation• Counseling businesses on general employment issues, including employment and independent contractor agreements, consulting agreements, non-competition and confidentiality agreements, employment handbooks and employee benefit plans• Successfully obtaining tax exempt status for non-profit organizations, including public charities and private foundations, and providing general legal counsel on all nonprofit business matters• Drafting Florida estate plans in conjunction with Couzens Lansky estate planning attorneys• Managing Firm’s social media accounts, participate in Firm’s technology developments and implementation and marketing efforts
