• Drafting, structuring, and negotiating complex high-value enterprise agreements with national brands, including tri-party warehousing agreements, SAAS platform agreements, technology integration agreements, and DPAs in support of the Sales organization (Business Development & Account Management), and a broad range of company-wide vendor agreements. • Advising senior leadership on high-value deal progress and contractual disputes.• Providing clear and simple guidance, contract interpretation, and dispute resolution advice to business team members.• Create and improve contract templates and contracting playbooks to support high volume workload and enable non-attorney roles to assist in contracting process. • Providing key input to cross-departmental projects improving operational execution, creating new corporate policies, and reducing company risk. • Directing CMS workflow improvements and integrations to improve internal efficiency (Thomson Reuter HighQ; Salesforce; Smartsheet).

• Drafting, negotiating, and preparing contract documents to support real estate transactions (retail, commercial, and warehouse), including new leases, amendments, extensions and terminations of existing leases, and purchase and sale agreements.• Reviewing, drafting, and negotiating supply chain agreements with nonprofit organizations and a broad variety of company-wide vendor agreements.• Providing advice and legal review of advertising and marketing collateral, including strict regulatory statements and compliance requirements.• Implementing a new regulatory compliance program, training, and supervising paralegal roles to manage over 300 annual regulatory filings across 20 states.• Managing pre-litigation contractual disputes and regulatory complaints.• Supervising outside counsel managing litigation, regulatory actions, and class action complaints.• Supporting corporate acquisitions and funding events, performing due diligence review, data room management & closing documents.• Drafting and managing board resolutions and corporate filings in the U.S., Canada, and Australia.
