At the time SunEdison was one of the first global players in the development, financing, construction and operation of renewable energy power plants worldwide. At SunEdison, I have been involved in several large and innovative debt and equity transactions that have been recognized as setting precedents for the industry. • Areas of practice: (i) M&A/Integration: provided strategic advice and risk-analysis to all departments involved (finance, HR, tax,) in international M&A transactions and managed all legal matters including drafting and negotiation of all contractual documentation, leading due diligence and managing dispute resolution; coordinated with tax, finance and HR the preparation and implementation of post-acquisition integration plan.(ii) Construction/Project-Finance: drafted and negotiated EPC and O&M agreements; participated in the structuring, negotiating and closing of project finance transactions(iii) Compliance: analyzed and interpreted laws, statutes and regulations, and identified areas of compliance (FCPA, KYPC, OFAC, anti-money laundering) as well as potential vulnerability and risk.(iv) Regulatory: provided legal support for green-field development activities, in particular with respect to (a) land use; (b) permits and regulatory compliance; (c) engineering, procurement and construction (EPC) law matters (risk mitigation, externalizing liabilities, warranty exposures); (d) operating & maintenance (O&M) programs; (e supply chain contracts, (f) insurances; (g) issues related to environmental and health and safety (IFC performance standards); (h) power purchase agreements; (i) evaluation of public/private bids.• Participated in management strategy and operational meetings and provided day-to-day and big- picture strategic advice, risk-assessment, guidance and recommendations in various contexts in order to achieve the Company’s objectives within the scope established by law.
