Public Company Reporting: • Oversee all legal aspects of public company reporting, including Securities Act and Exchange Act filings. • Draft, manage, finalize and file proxy statement and all 8-Ks and draft non-financial disclosure in 10-Qs and 10-Ks. • Liaise with finance department and auditors on legal issues relevant to accounting treatment. • Review all press releases and investor presentations.Corporate Governance: • Prepare materials for board and committee meetings, including agendas. • Attend and present legal matters at certain board and committee meetings. • Draft board and committee minutes. • Review, update and oversee compliance with governance policies. • Manage timeline and documents for stockholder meetings. • Assist with subsidiary formation, governance and compliance. • Liaise with HR department regarding governance matters relating to executive and board compensation.Finance: • Oversee compliance with the company’s debt instruments. • Manage communications with trustees and debt holders. • Maintain capitalization table and model effects of financing scenarios. • Liaise with CFO and CEO regarding financing options in light of existing debt covenants. • Draft, review, and negotiate transaction documents. • Oversee diligence process for financing transactions. • Manage post-closing obligations. General: • Manage in-house corporate paralegal and outside counsel for corporate and financing matters. • Review earnings release documents, including press release and conference call script and slide. • Oversee Section 16 reporting for officers and directors. • Provide support to administration of equity plans. • Manage stock transfer issues with stockholders and stock transfer agent, including new issuances, setting up and modifying stock reserves, and Rule 144 issues. • Assist on litigation and commercial matters as needed.

Commercial Contracts: • Manage the intake, review, negotiation and finalization of all commercial agreements, including sales, marketing, IT, finance, manufacturing, real estate, consulting and non-disclosure agreements. • Coordinate with business teams regarding the streamlining of contract review and approval process. • Create, develop and implement company-wide contract management procedures for the intake, routing, review, negotiation, approval, finalization, implementation and monitoring of all contracts. • Monitor compliance with contract management procedures on an ongoing basis and manage company-wide contract database. • Draft, review, update and monitor use of form agreements. • Advise on compliance issues related to company’s credit facilities.Public Company Reporting: • Draft, review and monitor on an ongoing basis SEC filings, public reporting obligations and other corporate governance matters. • Respond to inquiries from auditors and other advisors.General: • Advise on regulatory matters relating to the consumer packaged goods industry. • Provide legal input on proposed marketing plans, including marketing claims and strategies. • Conduct research regarding legal issues.
