Total consideration £25m. Transactions completed in 2015 and 2016.Commercial experience spans publishing, advertising, events, e-commerce, real estate, retail and distribution within groups owned by large corporates (Time Warner, Time Inc and ASDA) and private equity (Cinven and Epiris).Technically strong: Big-4 trained with recent experience of SEC reporting, US GAAP, IFRS, FRS 102 and Sarbanes Oxley compliance.Experienced team leader: developed high quality teams within Finance, Legal and Facilities managing 77 staff in five locations (including teams in India, Amsterdam and Hong Kong) within a matrix organization structure and utilising a shared service centre.

Achievements:• Carve-out of business from US listed parent. Including management presentations to potential buyers (trade and private equity), developing the long-range plan and cash flow forecasts, review of sale-related legal agreements, purchase price negotiations, leading due diligence with short-listed bidders, review of separation blueprint, advising on CMA (anti-trust) issues, completion accounts and the sale related tax planning and legal entity restructuring.• Business turnaround in a disrupted industry. Revenue and EBITDA was in sharp decline prior to my appointment as Finance Director. This performance was turned around with 4 successive years of EBITDA growth delivering a 5% CAGR.• Proceeds of £415m from the sale of prime Central London office freehold. One of the largest transactions in the London real estate market in 2015. This project required the agreement of pension trustees, a mix of real estate, legal and tax planning skills and leadership of extensive due diligence and completion accounts.• Completed five bolt-on acquisitions (total consideration £25m) as part of our strategy to acquire digital and adjacent revenue streams. • Delivered radical transformation of cost base achieved by exiting expensive office space, the introduction of modern working (hot-desk / homeworking), business process re-engineering and headcount reductions. -

Achievements:• Completed the successful disposal of Australian and New Zealand publishing business to an Australian trade buyer for a consideration of AUD $90m. • Led the acquisition due diligence of TrustedReviews.com an online consumer technology review site which has delivered significant shareholder value post acquisition (revenues grew 72% year on year in 2017 from digital advertising and e-commerce affiliates with EBITDA in excess of £2m).• Built the valuation model supporting proposal to acquire and fit-out a new build freehold office in Central London (total project cost £260m).• Interim Finance Director of Australian publishing business (revenue USD $50m)• Part of small senior team responsible for the sale of business to Time Warner e.g. coordinated due diligence and drafted elements of sale agreement.• Led change required to integrate financial reporting processes and implement tax planning strategies following the acquisition of the business by Time Warner
