Intrawest is a world leader in experiential destination resorts. Intrawest develops real estate at its resorts and at other locations across North America and owns and operates a number of hotels under the Marriot and Starwood brands. As Chief Legal Officer, I had overall responsibility for the provision of all legal services, corporate governance, risk management for Intrawest and reported directly to Intrawest’s Chief Executive Officer. I was appointed as Intrawest's Chief Legal Officer in June, 2008. In this position, I had company-wide responsibility and decision-making authority for all legal matters across the company including resort operations, Intrawest Hospitality Management, real estate operations (Placemaking and Playground) and the central corporate functions. I was also responsible for Privacy matters, the Office of the Corporate Secretary and for Risk Management and Insurance Underwriting as well as the Real Estate Compliance function. I served as an officer and director on a number of Intrawest’s European, U.S. and Canadian subsidiaries.During my tenure at Intrawest, key accomplishments included: negotiating the venue agreement at Whistler Blackcomb for the 2010 Winter Olympics and Para Olympic games, completing an Initial Public Offering for Whistler Blackcomb on the TSX in 2011 which was one of the largest Canadian IPO’s in 2011. I also completed two major re-capitalizations/refinancings of Intrawest in 2009 and 2010 as well as a number of major asset divestitures. I managed a significant litigation portfolio in the U.S., Europe and Canada of which a number of matters were of company-wide significance.

I was recruited to join the Imperial Parking in February of 2006. Imperial Parking is an industry leader in transportation infrastructure management. I had overall responsibility for the provision of legal services, the Corporate Secretarial function and risk management for the corporate group. With the CEO and the CFO, I was also responsible for acquisitions, working on some 17 M&A projects during my tenure at the company.

Terasen was a leading Canadian and U.S. provider of energy and utility services. Terasen had assets of approximately $5 billion and annual revenues of approximately $1.8 billion.I held various positions within Terasen’s corporate law group and was ultimately appointed Senior Vice President and General Counsel. I also had responsibility for enterprise corporate risk matters as chief risk officer, including enterprise insurance underwriting, and privacy matters as chief privacy officer. I was also accountable to the Board of Directors as the responsible executive for the Environmental, Health and Safety Committee and the responsible executive for the Corporate Governance and Nominating Committee. As Corporate Secretary I had general accountability for managing the governance and administrative relationship with the Board of Directors as well as TSX compliance, including insider trading controls and corporate governance. I also served as a director and officer on a number of Terasen’s subsidiary boards.My experience encompasses a broad range of legal work, including energy and regulatory law, litigation (I have appeared as counsel at the National Energy Board as well as the British Columbia Utilities Commission), human resources/employment matters, litigation management, real estate, extensive Merger/Acquisition and partnership structuring, joint ventures, offshore consulting and project development, IT and general corporate commercial matters. During my tenure Terasen completed some $9 billion in M&A activity in the U.S. and Canada, including the acquisition of Centra Gas Inc. ($800 million), Express Platte Pipeline transaction ($1.3 billion) and the ultimate sale of the Company in a go-private transaction to Kinder Morgan. Included in this activity are some 15 smaller acquisitions of the water/waste water business for Corix (in the $2 to $30 million dollar range), a wholly owned subsidiary of Terasen.
