I am a business lawyer with a broad based transactional practice focused principally on the middle market. I represent businesses, lenders and investors in mergers, acquisitions, divestitures, spinoffs, recapitalizations, and debt and equity issuances. I further represent owners of closely held businesses in negotiating their formation documents, effectuating partner buyouts and redemptions, and drafting and reviewing contracts, including distribution, joint venture, marketing and supply agreements. I routinely represent lenders and investors in secured lending, workouts and restructurings. After graduating from Cornell Law School, where I was an Editor of the Law Review, I began my career at Rogers & Wells (predecessor to Clifford Chance). I moved out to Long Island as a mid-level associate to practice at Farrell Fritz, P.C. Since then, I’ve advised middle market businesses in various industries from formation through exit during all economic cycles. I am a privileged to serve on the Cold Spring Harbor Laboratory Advisory Board, the Huntington YMCA Board of Trustees, and the Vanderbilt Museum and Planetarium Board of Trustees.
