Providing legal support to a large and growing global renewable energy company, with special emphasis on managing large contract negotiations, commercial support, business development, engineering and construction, trading, mergers and acquisitions, corporate issues, litigation and financial transactions.

Oversaw at its peak all operational legal matters associated with GSEGNA's power generation fleet of SPE’s in North America, producing at its peak 15,000 MW's of power and over $6 billion in revenues.• Provided daily legal support for GSEGNA's fossil fuel combined cycle gas, co-generation, industrial, and coal/waste coal plants. • Provided daily legal support for GSEGNA’s entire renewable energy fleet of biomass, wind, and solar plants, and our fleet of hydroelectric power in New England.• Provided legal counsel to the board of directors, chief executive officer, and senior management.• Oversaw compliance with all applicable local, State and federal laws and regulations.• Ensured that corporate governance and ethics mandates are satisfied by serving as the company’s Chief Compliance and Ethics Officer.• Directed the Company’s corporate activities to protect its legal interest and facilitate the achievement of its corporate goals and objective.• Drafted and negotiated M&A’s documents.• Drafted and negotiated all LTSA’s and CSA’s with OEM suppliers, and other major transactional documents for the Company and its subsidiaries.• Managed the company’s outside counsel in major litigations and transactions; established and maintained internal and external legal budgets.• Managed legal staff in Houston and Boston.• Served as Corporate Secretary of the Company.

Domestic/International Service Agreements – Assisted global sales force and operational personnel in drafting and negotiating large domestic and international transactions, including: long-term service agreements, operation and maintenance agreements, major maintenance and parts agreements, and related service/parts agreements for the sale and services of large frame and aeroderivative gas turbines, and steam turbines. Projects were located in Europe, The Middle East, South America and Asia and involved participating in the business analysis/decision to enter into these agreements. Successfully negotiated over $5 billion in contracts.Ancillary Corporate Transactions – In support of the above transactions, drafted and negotiated ancillary agreements, including: affiliate consortium agreements, parts sharing agreements, memorandums of understanding, letters of intent, confidentiality agreements, parent guarantees, letters of credit, opinions of counsel, and powers of attorney.Risk Magagement - Added resposibilities of risk manager while working in Houston for the Aeroderivative Group.Green Belt Certification - Obtained certification of Green Belt status under Company’s Six Signma quality assurance program.Intellectual Property - Responsible for protecting Company’s intellectual property rights.Litigation Management – Responsible for managing many types of claims and related litigation, including: establishing litigation budgets, hiring and managing outside counsel, recommending appropriate settlements, and handling collections and bankruptcy claims.General Corporate - Advised all levels of management on miscellaneous legal and business issues that affected the Company on a daily basis.Staff Management – Managed junior attorneys and support staff in the day-to-day operations of the department.
