Drove the financial due diligence process and negotiated terms on capital restructuring leading to a $75M dividend to our shareholders and a $210m credit facility in advance of a potential initial public offering.Provided pivotal financial support, including operating metrics, industry comparisons and management’s discussion and analysis of operating results for both S-1 and Form 10 Registration Statements in preparation of an initial public offering and tax-free spinoff from FNFV.Owned the financial due diligence process and consulted with sale advisors on the marketing materials that led to the sale of the Max & Erma’s restaurant brand.Consolidated the Financial Planning and Analysis teams following the merger of American Blue Ribbon Holdings and O’Charley’s in 2012, resulting in realized synergies of approximately $0.3M.

Drove the quarterly financial forecast process.Provided pivotal financial support in the successful and profitable sale of the company for $221M. Served on five-person due diligence team. Took ownership of a financial due diligence process that enabled the sale of the company within 120 days from initial offer and resulted in a 57% premium to the 20-day average share price.Helped improve the financial position of the company. Assisted CEO and CFO in capital re-structuring process that raised $105M through a sale/leaseback transaction and retired the company’s $115M of outstanding bonds.Enabled the Company to remain in compliance with debt covenants.
