I have been actively practicing corporate and securities law for over 35 years and serve as the Co-Chair of McLaughlin & Stern’s Corporate and Securities department and Chair of our China Practice. My educational background includes a B.A. from Harvard University and a J.D. from New York University School of Law. I represent both domestic and foreign clients doing business in the United States, particularly from China.Throughout my career, I've accumulated substantial experience in a wide array of corporate transactions, which encompass public offerings and private placements on behalf of both issuers and underwriters, mergers and acquisitions, commercial transactions, and ensuring compliance with securities laws. Additionally, I offer comprehensive corporate representation services to clients, which includes handling employment agreements, financing transactions, and licensing agreements. I have guided companies and individuals through the acquisition and formation of broker-dealers and hedge funds.My client portfolio covers diverse sectors, including technology, healthcare, finance, and manufacturing. I serve on the New York Board of the American Jewish Committee. I am a member of the Asian Affairs Committee of the New York City Bar Association, and a member of the Asian Financial Society. Additionally, I served as a Director of Tower Group, Inc., formerly a NASDAQ-listed insurance company, for 20 years until its sale, bringing my insights to the Corporate Governance Committee, Investment Committee and Compensation Committee.
