As a licensed CPA with a masters degree (LLM) in tax law, combined with work experience as chief in-house counsel of two major multi-faceted companies, I offer an extraordinary range of skills for structuring, negotiating, documenting and closing sophisticated transactions. I also lead the group's joint venture practice, co-head Holland & Knight's residential housing practice and have closed many large, innovative joint venture and other deals. My transactions have garnered national press and some are valued in the billions of dollars.With many years of experience counseling clients seeking to adapt to changing markets, I assist companies in successfully navigating through some of the most complex legal, tax and business considerations. My knowledge in the areas of accounting and tax adds significant value to my representation of clients. In addition to mergers, acquisitions and joint ventures, my transactions include purchase and sales of build-to-rent communities, land banking, work-outs, debt and equity financing (including private placements and initial public offerings), corporate governance (including implementing anti-takeover measures in a takeover attempt of a public company), and most other facets of corporate, partnership and LLC commercial transactions. I represent both public and privately-held companies in a variety of industries including homebuilding and real estate development. I recently served for almost 5 years as the Recording Secretary for the Florida Bar task force that drafted the new Revised Florida LLC Act, which was enacted on May 3, 2013, as well as the Florida Bar task force that drafted the amendment to the Revised Florida LLC Act in 2015.
