Moving to The Schroeder Group, S.C., Attorneys at Law, allowed me to focus on providing practical legal advice to privately held businesses I was able to use the invaluable experience I gained working at some of Milwaukee's and Wisconsin's largest law firms to counsel privately held businesses and entrepreneurs on complicated and cutting edge corporate and business law issues, while providing personal contact and responsiveness that is often difficult to find.

I obtained additional mergers and acquisitions experience by working on transactions involving public reporting companies with deal values exceeding $400,000,000 as well as working with private equity and venture capital groups in acquiring portfolio companies and planning exit strategies. I gained valuable experience by representing various parties in transactions involving mezzanine financing and other alternative financing structures. I was also able to assist international companies in addressing global contracting and distribution issues as well as advising the board of directors of publicly traded companies as to the extent of their fiduciary duties as directors.

I focused my practice on corporate and business matters, incorporating my broad legal background into a mergers and acquisitions practice. I did a significant amount of work in connection with shareholder governance, shareholder and buy/sell agreements, as well as operating agreements for limited liability companies and counseling start ups on choice of entity. I was the lead attorney on many significant sales and purchases of businesses from $200,000 to $250,000,000, including asset purchases, stock purchases, mergers, leveraged buyouts and management buyouts. I did dealwork in the corporate finance area, representing banks, senior and junior lenders as well as borrowers.

I worked with small business owners in many different areas of the law including general corporate matters, choice of entity, contract work, employment discrimination, wage and hour law, labor contracts, non-profit planning and preparation of personal and business tax returns.
