I advise start-ups and established enterprises on a full range of corporate matters, including structuring, formation, corporate governance, employment and separation agreements, securities law compliance and the purchase and sale of businesses. I have represented both lenders and borrowers in secured and unsecured financing transactions and has served as issuer’s counsel in both initial and secondary public offerings and private placements of debt and equity securities. In addition, I have represented both buyers and sellers in connection with the acquisition, sale and registration of private aircraft and yachts.
