Elizabeth spearheads Touchstone's M&A practice, and regularly represents both buyers and sellers in complex reorganizations, acquisitions and dispositions. Elizabeth has years of experience managing M&A transactions. In addition, she has deep expertise in structuring, deal economics and taxation, and advises on complex corporate and partnership tax issues. She works regularly with investment fund sponsors and investors to identify and implement optimal structuring and economics. Her expertise in transactional work and investment management, whether in the United States or internationally, gives Elizabeth a comprehensive understanding of the legal challenges and opportunities in the investment and transactional space, from initial formation of corporations and LLCs to planning potential exit strategies. Elizabeth has extensive experience counseling early-stage start-ups and emerging companies in a wide range of industries. She has advised businesses of all sizes in industries including health care, biotechnology, life sciences, banking, financial technology, food and beverages, energy, IoT, e-commerce and transportation. In addition, Elizabeth advises clients on real estate taxation matters, including investment structuring and real estate fund formation and operation.Elizabeth has spoken nationally on tax-efficient structuring for domestic and cross-border investments, federal tax reform and policy, and the structuring and operation of private investment funds. She has also authored numerous articles published by national tax and industry journals, as well as led "in-house" seminars and trainings for clients.

As a partner with Baker Tax Law, a sophisticated firm specializing in tax and employee benefits, Elizabeth advised public and private clients with respect to domestic and international tax matters, with a focus on corporate structuring and transactional matters. Elizabeth also worked directly with fund sponsors to launch new or follow-on private investment funds, spearheading all fund documentation from fund agreements to PPMs and subscription documentation. Elizabeth provided in-depth legal counsel to M&A clients on a broad range of deals, and has worked with strategic buyers as well as private fund counterparties. She worked with clients to offer tax and economic planning for acquisitions, dispositions, debt issuances, restructurings, as well as investment structuring. She also assisted with ongoing tax planning for corporations, partnerships, LLCs, S corporations, and joint ventures.

As a long-standing member of the Board of Directors of the Massachusetts chapter of the National Organization for Women (Mass NOW), Elizabeth oversaw a variety of legal and governance issues for Mass NOW. Her primary focus was on the advancement and protection of LGBTQIA+ rights, including advocating for transgender legal rights in Massachusetts, as well as advancing structural and legal change to promote racial and socio-economic equality.

Elizabeth specialized in the formation and operation of investment funds, mergers and M&A transactions, and transactional tax structuring and analysis. She represented public and private companies in acquisitions, dispositions, mergers and restructurings, as well as domestic and cross-border investments. Elizabeth counseled clients regarding U.S. federal and international tax issues and planning strategies, with extensive experience in M&A, international tax, private investment funds, partnerships, real estate, and debt financing.

While practicing at Goulston & Storrs P.C., Elizabeth advised clients on a variety of matters, including corporate mergers, acquisitions and restructurings, and the formation and operation of REIT and real estate fund structures. Elizabeth specialized in cross-border investments and merger/acquisition transactions, as well as advising clients as to the tax and economic issues relating to domestic joint ventures and other transactions.

Elizabeth developed a broad transactional practice at Ropes & Gray, with particular expertise advising investment funds in formation and investment structuring. Elizabeth also represented a wide variety of investors in private investment funds, and focused on the tax and economic issues specific to individual and institutional investors (whether domestic or non-U.S.).

Elizabeth served on the Board of Directors at the Boys & Girls Club, assisting with the oversight and direction of the organization, as well as its fundraising and governance efforts.

Elizabeth served as a delegate to the Michigan Board of Directors of the ACLU, assisting in decisions regarding potential litigation and policy matters.

Elizabeth served as a legal intern for the ACLU of Michigan. In this role, Elizabeth worked on groundbreaking racial discrimination cases (including police profiling of "biking while black") as well as LGBTQIA+ civil liberties, and she was a community liaison and educator advocating for second-parent adoption rights. Elizabeth participated in a number of matters involving civil liberties, including a case advocating for second-parent adoption rights in Michigan.

Elizabeth worked with nationally-renowned professors to research and analyze significant cross-border legal issues regarding human trafficking and civil rights, as well as commercial law and the taxation of complex transactions.

Elizabeth focused on trademark and copyright drafting and prosecution.
