She negotiated and drafted purchase agreements, leases, renewals, modifications, development agreements, and other agreements with a wide range of parties, including governmental entities and utility companies. • Managed development of a shopping center on unimproved property, including: (i) drafting multiple purchase agreements and amendments for adjoining parcels, environmental remediation agreements, cross-access, maintenance and drainage easements between adjacent parcels and agreements to clear title where ownership was disputed, (ii) acquiring property and easements for the State Department of Transportation to widen a highway, (iii) ensuring compliance with the city’s approvals and the State Environmental Quality Review Act (SEQR) determinations, and (iv) working with utility companies to amend, terminate and create new easements to service the shopping center.

• Drafted pleadings for cases before the Board of Standards and Appeals, which provided the Department’s legal interpretation of the New York City Zoning Resolution; prepared determination letters for licensing appeals on behalf of the Building Code Boards; and, drafted pleadings criminally charging violators of the Zoning Resolution and the Building Code.

• Drafted Attorney General Determinations regarding disputes arising from the sale of real property. • Reviewed new filings and amendments for authorization to sell interests in real property to ensure compliance with New York’s “blue sky” laws, and other agency regulations governing the sale of securities.

• Prepared civil pleadings, briefs and discovery for cases in federal and state courts across the country, including class action and shareholder derivative lawsuits based on violations of federal securities laws, the Sarbanes-Oxley Act and state claims resulting from fraud, misconduct and breaches of fiduciary duties.
