Manage all legal (including contract and employment), corporate governance and compliance functions for Americas operations of Norwegian software company focused on digitalizing large asset industries (e.g. energy, petrochemical), as well as provide strategic guidance on innovative digital twin technology, including product counsel and customer negotiations and relationships to enable scaling technology in across customer industries. In this role, I have developed an understanding of the technology offered by the company and the risks it creates in transactions with customers, third parties and employees and apply that knowledge when providing strategic guidance to the business.

Managed a global team of compliance attorneys for a global software company with over $3billion in revenue and 16,000 global employees. My team was responsible for implementing, auditing and training on global processes and procedures to manage ethics, anti-corruption, enterprise third party and trade compliance risks. Operationalizing these compliance processes in an effective way required (a) a thorough understanding of the business, including the risks created by the technology the company sold, as well as that it used internally, (b) the ability to simplify and translate the legal risk and mitigation strategies, (c) collaboration with the business to identify solutions that enabled business transactions to proceed with minimal risk and maximum integrity, and (d) systematic reporting to Executive Management and Leadership Committees to inform business strategy.This role was a culmination of my prior experience at SAS. During my tenure at SAS, I also served on the IPO and Business Continuity committees and worked with the Mergers and Acquisitions team on pre-acquisition due diligence and post-closing integration activities, developed training programs on each of the initiatives on which I engaged, and provided guidance in multiple areas outside of my current area of responsibility as requested by Leadership.

Managed the day-to-day ethics and anti-corruption compliance programs, including conducting and managing internal and external investigations and implementing risk management strategies. In this role, I achieved several key objectives including, (1) designing, implementing and managing a global ethics hotline and internal investigations procedure, (2) designing, implementing and managing an automated enterprise third-party management process to identify and manage enterprise risks posed by third parties (including anti-corruption, trade and privacy), (3) designing, implementing and managing an automated, interactive global gift guidance and marketing event tool to provide automated guidance to all employees on gifts to third parties, (4) designing, implementing and managing a global charitable giving review process, (5) designing and implementing US Government engagement/lobbying compliance program, (6) created reporting tools to share risks and mitigation strategies with Executive Managment and Leadership Commitee (which performed may functions of a Board of Directors for this private company).

Designed, implemented and managed the day-to-day operations of a global Trade Compliance Management System. In this role, I achieved several key objectives, including: (1) understanding and translating to Research and Development the export compliance obligations with the use of encryption and other controlled technology in software products, (2) collaborating with Research and Development team to implement an encryption management system as part of the product development and distributions processes, allowing automation of shipping decisions based on product classifications, (3) implementing and managing an automated sanctions screening program, (4) educating Human Resources and Research and Development on the deemed export risks facing the company and collaborating with those groups to implement a deemed export compliance process, (5) collaborating with foreign subsidiaries to create import compliance programs in those countries restricting imports of certain types of technology. This role required that I understand the technology created by the company and translate the regulatory concerns around that technology, including encryption, artificial intelligence and customized code created with a military purpose (i.e. ITAR) for the business, including Research and Development, Sales, Marketing and Human Resources to ensure compliance with applicable trade laws.

Globalized standard software and services agreements for 50 plus global subsidiaries, including localization, translation, creation of standard "plug-and-play" pricing metrics, and the design of legal elements for an automated agreement generator for software licensing agreements. In this role, I was required to perform a number of functions, including (1) working with Marketing and Research and Development to understand products being offered in the market to ensure pricing metrics and contractual language provided adequate contractual protection for the company, (2) educating the global legal team on product and contractual terms and negotiation strategies, including the creation of negotiation tools (e.g. "playbooks") and (3) supporting global sales teams in drafting and negotiating complex software sales and services agreements.

Provide general legal support for a regional telecommunications and Internet company, including (1) negotiating with customers and creating standardized customer agreements and, (2) managing intellectual property portfolio, (3) government relations, (4) procurement agreements, (5) engaging in mergers and acquisition activities (e.g. due diligence and post-closing integration) and (6) employment law.

Provide general legal guidance to clients of a boutique law firm catering to entertainment law clients, including (1) general corporate governance, (2) contract review and negotiation, (3) trademark and copyright management and enforcement, and (4) wealth and estate management strategies.

Serve as judicial legal assistant/law clerk, performing legal research and drafting judicial opinions of appellate matters.
