• Regulatory, product and commercial counsel for Southeast Asia covering Cambodia, Indonesia, Malaysia, Myanmar, Philippines, Singapore, Thailand, Vietnam• Advise on product launches and regulatory, commercial and litigation matters • Work with HQ and regional management and cross-functional teams regarding potential legal risks in Southeast Asia• Respond to regulatory requests and review and comment on proposed legislations

• Represent private and public companies in mergers and acquisitions, equity and debt financing and corporate governance • Represent venture capital and private equity funds in investments and acquisitions• Actively advise clients with regard to securities laws compliance, including the review of periodic SEC filings, corporate governance and policy issues, corporate structuring and general corporate matters

• Represent private equity funds and public and private companies in domestic and cross-border mergers and acquisitions• Provide counsel in connection with strategic investments and joint ventures, as well as dispositions and exit transactions • Responsible for various aspects of transactions, including due diligence, drafting, negotiating and reviewing letters of intent, shareholder agreements, merger agreements, purchase agreements, disclosure schedules, organizational documents, corporate governance policies, compensation and benefits documents, opinions, certificates, resolutions, and other transactional and general corporate documents• Draft disclosure documents in securities offerings, including initial public offerings and private placement of securities
