Advise the Board, CEO and senior management on all legal matters affecting the company. Responsibilities also include oversight of the Legal Department, the Corporate Compliance Department and Public Policy and Association Affairs.

Within the Legal Department, managed the Government Markets Practice Group and provided counsel on matters related to the participation in state and federal health insurance programs, including Medicare Advantage, CHIP and Medicaid. Within the Public Affairs Department, responsible for policy development, including the review and analysis of various aspects of the Affordable Care Act. Also, served as a liaison with state and federal legislators and regulators regarding the legal and policy implications of health care reform.

Advised senior management on state and federal regulatory matters affecting the Company, including strategic initiatives and antitrust matters. Responsibilities included managing numerous state and federal regulatory issues associated with a proposed merger with another health insurer, including: assisting in the performance of due diligence; managing the regulatory approval process; coordination of state and federal filings; management of multiple law firms and consultants; and assisting in the preparation for legislative and regulatory hearings.Served as the “Team Lead” for the integration of the Legal Departments of the two companies.

Advised the CEO and senior management on all legal matters affecting the company including corporate and contractual issues, litigation, compliance, human resources, company licensure, real estate, governance, intellectual property and regulatory matters.

Advised management regarding compliance with state and federal statutes and regulations; served as the company’s liaison with regulators in various states concerning the company’s licenses and products; advised management on legislative and regulatory strategies; provided counsel on numerous contractual and intellectual property issues.

Duties included providing legal advice to the Governor and his senior staff on legislation; assisting in the development of Administration legislative objectives; drafting legislation and amendments; and acting as the General Counsel’s liaison to numerous executive agencies including the Department of Banking, the Insurance Department and the Independent Regulatory Review Commission.
