I co-chair the executive compensation and employee benefits practice group at McGuireWoods LLP.My executive compensation and employee benefits practice covers a wide-range of traditional executive compensation and employee benefits matters along with a variety of inter-disciplinary practice areas and industries that are affected by executive compensation and employee benefits laws.Executive Compensation: I work with clients on the design, implementation and maintenance of executive agreements, equity and other incentive compensation plans and non-qualified deferred compensation arrangements and counsel clients on the impact of Code Section 409A on executive compensation arrangements.I also counsel compensation committees on the Dodd-Frank financial reform laws and regularly assist with preparation of proxy statements and other SEC filings related to executive compensation matters.Tax-Qualified Retirement Plans: A significant portion of my practice involves advising plan fiduciaries with respect to fulfilling their ERISA obligations to plan participants. I also help clients create and maintain all manner of tax-qualified retirement plans, such as, defined benefit pension plans, 401(k) plans, profit-sharing plans, ESOPs, ESPPs and money purchase pension plans.Health and Welfare Benefits: I advise clients on HIPAA and HITECH and issues relating to PPACA and other healthcare reform laws. I also help clients create WRAP plan documents and design wellness programs.Nonprofit and Tax-Exempt Organizations: I counsel nonprofit and tax-exempt organizations on the design, implementation and administration specialized employee benefit plans, such as: 401(a) and 415(m) excess plans, 403(b) plans, 457(b) and 457(f) deferred compensation plans.Corporate Transactions and Finance: I negotiate executive compensation and employee benefits matters relating to private equity, mergers and acquisitions, and corporate finance transactions.
