Advise private after-school program, graphic designers, filmmakers, and small new media startups on corporate formation issues, collaborative partnership agreements, and intellectual property strategy.

Couseling: Identify and limit legal exposure in day to day operations and with regards to broader industry shifts, particularly employee vs independent contractor status and environmental regulations. Legal Affairs: Negotiate, draft, and review vendor contracts and employment contracts. Communicate and coordinate with outside corporate counsel and assigned insurance defense counsel. Successfully defended company against ex-employee’s allegations of sexual harassment in administrative hearing before the California Unemployment Insurance Appeals Board.-Gathered evidence refuting ex-employee’s claims of racially imbalanced compensation scheme and sexual harassment claim and compiled as exhibits.-Composed closing argument for presentation to administrative law judge.-Prepared witness employee manager on his testimony.Regulatory Experience: Conduct internal audit for compliance with employment law as well as state and federal environmental and transportation regulations. Advised management on altering procedures to facilitate full compliance with the law. Directed the production of internal documents requested by government auditors, including the California Highway Patrol and the State Board of Equalization.Financial Experience: Oversee accounting department and all company accounts.
