Responsible for monitoring and enforcing all corporate registered trademarks service marks and patents. Oversaw the legal support of the $1.5B merger between UHC and VHA to create Vizient, the largest member-owned data and medical supply company in the United States. Managed and oversaw the legal issues of UHC’s Group Purchasing Organization (“GPO”) Novation, a GPO that UHC co-owned with VHA, Inc. Oversaw the creation and continued legal support of UHC Safety Intelligence®, UHC’s Patient Safety Organization. Provided legal support for all business units including supply chain, data analytics, information technology, human resources, insurance, research and development and quality improvement. As Corporate Secretary responsible for reviewing and amending bylaws; drafting corporate minutes and acting as a resource to the Governing Board. Represented and counseled acute care and long-term care health and human service providers. Served as General Counsel to Lifelink Corporation. During last quarter of 2006, oversaw a 26 million dollar transaction between two health care providers that included regulatory compliance, tax-exempt bond financing, obtaining a letter of credit to back the variable rate bonds, Certificate of Need (“CON”) issues, employee issues including WARN Act compliance, real estate issues including environmental law compliance and facilitating all required board meetings to obtain required board authority to complete the transaction.

During the first quarter of 2006, oversaw a $70M dollar tax-credit refinancing of twelve properties in the Lifelink asset portfolio. Upon the retirement of the CEO, developed and managed the strategic business plan for the corporation. In conjunction with the CFO, managed the operations of the corporation in the absence of the CEO. Chaired the corporate-wide risk management committee, corporate compliance committee and HIPAA counsel. Manage the Human Resources Department that oversees over 1000 employees in five states at 56 sites. Negotiated all employee benefit programs. Managed the corporation’s self-insured Workers’ Compensation program. Served on the Risk Management Committee for Caring Communities Insurance Company, an off-shore insurance captive established by the corporation and 23 other health and human service providers.
