I was a member of the senior leadership team and adviser to the board of directors and management of a publicly-traded, Nasdaq-listed food ingredients manufacturer on legal, business, and governance matters. As General Counsel, I acted as counsel on a vast array of legal matters including corporate governance, securities laws, M&A, intellectual property, environmental, regulatory, and commercial matters. As Corporate Secretary, I advised the board and board committees on corporate governance and other matters. I was responsible for evaluating, structuring, negotiating, and documenting M&A projects. I was responsible for preparation of SEC filings, including registration statements and proxy statements, and led legal oversight of SEC Form 8-K, Form 10-Q, and Form 10-K filings. I negotiated commercial agreements, including customer and supplier agreements, for each of the Company’s business segments. As General Counsel I managed the growth of the legal function as company revenues more than doubled, while I successfully managed costs and budgets. I managed complex litigation matters, including a securities class action and associated stockholder derivative litigation, as well as litigation related to a toxic gas release (including a federal indictment and subsequent plea bargain and related EPA enforcement action arising from the release).

I had a broad-based corporate practice with concentrations in mergers and acquisitions, corporate finance and securities law, and corporate governance matters. Named BTI Consulting Client Service All-Star in 2017.
