About Thomas Newcomb
I love building and operating on winning teams that make the right decisions, quickly. Twelve years as a combat fighter pilot taught me that operating effectively in high-stakes, dynamic environments is a teachable skill. That is how we transitioned a team of 300 folks who had never worked together into a tight-knit family that worked nine-months on end to get thirty-year-old airplanes to fly, night after night, without missing a single mission. Still an unbroken record. Working with small teams to some of the biggest on the planet; the fundamentals are the same.

Law Clerk (Pending Admission)
CurrentMy team represents private equity firms and their portfolio companies, corporates and other participants including direct lenders. We focus on acquisitions, divestments, joint ventures and complex financings. Post-acquisition, we advise on corporate governance and, for our public companies, activist defense.
Jd/Mba Candidate
I went to Stanford to focus on the large-scale problems at the intersection of government and private industry. I left the military to attend Stanford with a specific goal: to help find effective solutions to the crises of American political trust and bolster its national security. After four years learning from some of my favorite people on the planet--my professors and my peers--I remain convinced that the most important work of the next decade will be securing American economic dynamism and global influence while ensuring we live up to its highest promises and ideals.
Head Of Operations And Strategy
As the first employee at GoodLynx, I was proud to work directly with two phenomenal founders to build a client pipeline from $0 to $MM of negotiated deal value for a great purpose: changing the nature of project finance to create pro-climate growth.
Law Clerk
As a law clerk at Cravath's New York Office, I focused on corporate tax implications in M&A. While working on novel deal structures that included taking private partnerships public as corporations and structuring tax efficient mergers, I focused on resolving cross-border issues in international M&A. Giving back is important to me, so I also spent significant time working Pro Bono for clients needing help with legal documentation, access to healthcare and incorporation.
Investment Analysis
As a member of the Portfolio Operations Team, I worked with the portfolio companies in the impact fund to increase the efficacy of their operations and run financial models to track the portfolio's investments. I regularly met with founders to help them increase their runway and speed, develop new product lines or pivot existing product lines, and model their finances. I also worked with the Environment and Energy Team at the Impact Fund to source, assess and invest in early-stage for-profit ventures seeking financial, social, and environmental returns.
Law Clerk
As a law clerk at Cravath's New York Office, I focused on corporate securities. I continued my work on crypto, this time focusing on EFT regulation and the SEC's changing definitions of crypto securities, and developed new skills in mega-cap bond offerings, board resolutions, take-private transactions and public offerings. I also spent significant time working Pro Bono for clients needing help with legal documentation, access to healthcare and incorporation.
1L Scholar
As a law clerk at Skadden's New York Office, I focused on the burgeoning legal questions regarding crypto-regulation in addition to buy-side and sell-side M&A with a focus on PE and distressed leveraged buyouts. I published multiple firm-wide memoranda on legal implications of state-crypto markets, unanticipated global disruptions on contract provisions, and anticipated macroeconomic conditions affecting M&A activity. I also spent significant time working Pro Bono for clients needing help with criminal law, intellectual property and real estate transactions.
Marine Officer
As a Marine, I spent 12 years dedicated to fighting and learning with my favorite organization on the planet. Among many roles and responsibilities, here are a few:As an F/A-18 pilot and instructor, I was top 1% by rating, flying over 1,500 hours in both combat and peacetime. I led missions of all sizes and scale, from just two airplanes on specialized tasks to over hundreds of multi-national air and ground units working in close-coordination.As an Executive Officer (a mix of CEO, COO and Chief of Staff), I was a strategic advisor to the commander and acted as first-in-command during his absences. I was charged with 200 personnel and 14 F/A-18 aircraft in combat and peacetime, responsible for operational employment, tactical decision-making and all administration from personnel to global logistics. As a Director of Operations (COO), I managed a $300M+ budget and directed global operations of 200 folks and 14 F/A-18 aircraft. I worked with them to implement first-in-kind operations models that resulted in best-in-class performance metrics in: pilot production per flight hour (increased 3X); maintenance-hours per flight hour (decreased 1.75X); aviation mishaps per flight hour (decreased 1.5X) and total flight hours (increased 2.5X). To do that, I worked closely with highly technical teams of engineers and mechanics in addition to our operational teams of planners. Some key lessons: (i) know yourself and seek self-improvement; (ii) set the example and take responsibility; (iii) own the losses but distribute the wins; (iv) train as a team; (v) failures of communication are never on the receiver; and (vi) know your people and employ them in accordance with their capabilities.
