I concentrate my practice in the areas of corporate and securities work for both public and private companies as well as underwriters, venture capital firms and placement agents. I have substantial experience in public and private equity and debt offerings, venture capital financings, corporate partnering transactions, strategic investments, public and private M&A transactions, and alternative public offerings. I represent public and privately held companies in diverse technology markets as well as in the retail, manufacturing, financial services and biotechnology sectors. I have represented a substantial number of Chinese companies effecting public listings on the US national securities markets.I have represented numerous issuers and underwriters in a variety of industries (including technology, retail, financial services and life sciences) in connection with initial and secondary public offerings, providing more than $1.5 billion in aggregate proceeds. I have also represented issuers in connection with the preparation and filing of universal shelf registration statements from which various types of debt and equity have been issued, providing more than $1.0 billion in aggregate proceeds. I have acted as lead counsel or co-counsel on more than 175 public offerings.I have represented private and public companies in connection with initial and subsequent rounds of common and/or preferred stock financings, as well as senior, subordinated and mezzanine secured and unsecured financings, ranging in size from several hundred thousand to several hundred million dollars.I represent small, middle-market and large companies in connection with public and private acquisitions and dispositions, involving both stock and cash and ranging from several million dollars to more than $500 million. I also represent issuers and bankers in connection with alternative public listing transactions, along with concurrent and/or post-deal financings in the form of PIPE transactions.
