SUMMARY Currently as a senior counsel and for more than 30 years as a partner in the corporate practice at Mayer Brown, I have brought legal experience and business judgment to a wide range of advisory and transactional assignments. I have frequently served as a senior advisor to boards of directors, board committees and management on issues of corporate governance, executive compensation, legal and regulatory compliance, sensitive corporate matters, ethical and policy considerations and strategic transactions. My transactional practice focuses on private equity and venture capital investments, acquisitions and dispositions, and joint venture formation, with a particular emphasis on capital structure and governance issues. BOARD ADVISOR AND PARTICIPANTAs a frequent advisor to boards of directors and to standing and special board committees, and informed by my past service on the boards of public and private companies and of charitable organizations, , I am accustomed to dealing with issues of internal governance, executive compensation, legal and regulatory compliance, sensitive corporate matters, and ethical and policy considerations in both ordinary-course and extraordinary circumstances. In 2019, I was recognized by Law360 for acting as the lead lawyer to the Special Committee of Oaktree Capital Group, LLC in its consideration of Brookfield Asset Management’s acquisition of a majority stake in Oaktree in a $4.7 billion transaction.TRANSACTIONAL LEGAL PRACTICE My transactional practice focuses on acquisitions and dispositions, joint ventures and other strategic transactions and private equity and venture capital investments. My experience includes transactions across many industries and frequently with significant cross-border elements. Many of my transactional clients have limited internal legal resources and have relied upon me as their primary lawyer, frequently seeking out my advice on issues of strategic perspective and risk management in addition to matters of a strictly legal nature.LAW FIRM MANAGER I have held numerous practice and office management roles at Mayer Brown, including three years managing Mayer Brown’s New York City office, during which time the office achieved record revenues and profitability, and also serving as the firm’s legal counsel in its consideration of a merger with another global law firm.
