About Gerald Thomas

I am Chair of McGuireWoods' Tax & Employee Benefits Department. With 20 years of experience serving as trusted legal advisor to clients of various sizes and types, I structure my clients’ complex business deals to maximize tax efficiency while also helping them meet their business objectives. Over the years, I have represented numerous private equity funds in the formation of their funds and in their M&A transactions. I also advise health care companies and physician practices in the expansion and disposition of their businesses, including navigating tax issues within the health care regulatory framework. I offer particular expertise with real estate investment trusts (REITs), both in the law firm setting and Big 4 arena. I advise REITs, both mortgage and equity, in their investments in REIT-qualifying property, financings, joint ventures, and M&A transactions. On a more personal level, I am passionate about community issues affecting our youth. I currently serve on the board of Cool Girls (an organization dedicated to educating and empowering the next generation of young women).
