My work includes more than 30 years of experience representing businesses and individual clients, which includes corporate and business law, federal and state taxation, mergers and acquisitions, securities, estate planning, corporate finance, tax controversies, healthcare and trust and estate matters. I have extensive corporate experience, including general corporate, tax and securities compliance work for three public companies. I've served as lead counsel for a major tertiary care hospital which formed a buying consortium with three other nonprofit hospitals who collectively purchased 19 for profit hospitals from HCA--the largest such transaction of this nature in the country. My responsibilities included negotiating the acquisition agreement, regulatory compliance, including complying with the Hart Scott Rodino pre-merger notification act and state law issues controlled by the Alabama Attorney General.I've represented a number of major hospitals throughout Alabama in general corporate and regulatory matters and also have significant experience with the Alabama Certificate of Need process, having tried a number of CON cases and successfully obtained letters of non-reviewability from the Alabama Certificate of Need Review Board. I've also represented a major nursing home chain in Alabama, handling all acquisition work of nursing home purchases and primarily responsible for corporate compliance and tax issues. In connection with the healthcare industry work, I've represented these clients in major financing transactions, which include bond issues, commercial financings and a significant HUD loan under the new HUD LEAN program. I have extensive experience in negotiating with the IRS and the Alabama Department of Revenue on tax issues arising out of audits and in connection with taxpayers who file amended tax returns to claim certain tax benefits. In addition, I've negotiated dozens of settlements with the IRS and Alabama Department of Revenue on tax issues.
