As Indigo expanded into countries other than the U.S., I led a team that selected Basil, Switzerland for the Company's international headquarters. In subsequent years, the Company expanded operations into 4 European and 2 South American countries. I was primarily responsible for overall income tax minimization for the global group, transfer pricing, intellectual property valuations, income tax compliance and financial statement reporting.

Began Tax Department where none previously existed. Established all processes and overall responsibilities for financial statement reporting for all tax matters (ASC740), for all tax compliance and reporting, for all indirect tax matters (sales and use taxes, customs, etc.), and for Sarbanes-Oxley controls programs, etc.

• Responsible for legal oversight on CVS Health tax policy matters. • Three significant acquisitions ($1.8BN to $12BN) and a number of smaller transactions.• IRS Appeals level defense on two cycles (2008-2014) on two issues: §199 and R&D claims. • Led Company efforts to repeal/delay imposition of “Cadillac” excise tax.• Draft technical tax memoranda, comment letters, policy papers, Audit Committee presentations, etc.• Recipient of CEO Breakthrough Award for renegotiating a vendor contract that resulted in unlocking over $150MM in income tax benefits – cash and rate.

• Develop strategy, manage IRS relationship, draft responses to Information Document Requests, explain filing positions, and defend against proposed adjustments. • Review quarterly and annual provision as prepared by Tax Accounting; review ASC 740 tax accounting and SEC disclosures.• Design and review Sarbanes Oxley process controls, perform quarterly testing. • Led IFRS tax conversion project, identifying differences between USGAAP and IFRS standards.

• Established the tax function where none previously existed. • Primary responsibility for all aspects of international, federal and state tax financial statement reporting, tax planning, tax research, and tax return compliance. • Following parent company $1.6 billion acquisition of U.S. operations, designed and executed IRC section 338(h)(10) election and opening balance sheet.• Designed and executed a three tiered LLC structure by which Company achieved a 10 year deferral of a $35 million income tax liability relating to the $185 million sale of 1.1 million acres of timberland. • Lead U.S. tax professional on a $485 million acquisition of a U.S. paper mill with an existing $285 million cross border equipment lease with German investors.
