Provided advice and counsel to a $3.6 billion global engineering and construction firm on a wide range of legal and compliance issues to cross-functional business units and responsible for deal structuring, risk analysis, collaboration, and advising, negotiating, reviewing and drafting terms and conditions of domestic and international engineering and construction agreements (business-to-business and to government), including commercial agreements, teaming (MOU), JVs, NDAs, engineering services, design-build, construction management, EPC, EpCM, EPCM, Construction-only, software licensing, procurement and subcontracting agreements, and other strategic alliances or legal documents for projects in the U.S., Canada and Latin America.

• Provided advice and counsel on a wide range of legal and compliance issues to cross-functional business units, including customer and vendor disputes, compliance investigations, labor/employment compliance, m&a due diligence transactional reviews, export control, outside counsel management, and similar issues. • Handled in-house transactions with concentration on complex commercial agreements, international and government-funded transit product and service sales agreements, and for long-term transit signaling construction projects (DB and EPC), with favorable, lower-risk terms (business-to-business and government), including sales, sourcing, software licensing and escrow, services, consortium, procurement, teaming, sub-contracting agreements, or other strategic alliances or legal documents. • Provided ongoing tactical interpretation, advice and support in general commercial matters, transactions, and public tenders.• Verified and enforced contract and government regulatory compliance relating to contract terms for international and domestic bid documents and final contract; monitor government rules and regulations to spot trends, and provide interpretation of the law or regulation.
