I represent municipalities, school districts, state-related agencies and nonprofit organizations on the structuring of taxable and tax-exempt revenue bond and general obligation bond financings for a variety of capital projects. I’ve closed transactions to finance manufacturing facilities, hospitals and other health care facilities, parking facilities, schools and higher education institutions and water and sewer projects. I also represent issuers and conduit borrowers in connection with IRS examinations of tax-exempt bonds. I've assisted many clients during the audit process and secured multiple “no change” determination letters from the IRS to ensure that the tax-exempt status of their bonds remains intact. I also advise clients on participation in the IRS voluntary closing agreement program, or VCAP, which affords issuers the opportunity to voluntarily disclose violations of the tax rules in exchange for more favorable settlement terms.I'm a member and immediate past President of the Board of Directors of the Pennsylvania Association of Bond Lawyers, and speak often on matters of interest to the bond industry.
