CurrentLegal lead for ITT’s global M&A, strategic collaborations and ITT Ventures corporate venture capital investments. Manage large internal and external deal teams and coordinate with ITT C-suite, business unit leads, outside counsel and financial advisors. Notable transactions include, among others:- joint venture and strategic collaboration with Technik Fluid Controls, an India-based manufacturer, for the design, manufacture, sale and distribution of customized valves for the biotech and pharmaceutical industries in India- acquisition of Habonim, an Israeli-based global designer and manufacturer of ball valves, valve automation and actuation technologies for applications in the pharma, biotech, chemical, LNG and industrial markets- acquisition of Micro-Mode Products, a specialty designer and manufacturer of high-bandwidth Radio Frequency (RF) connectors for defense and space applications- divestiture of InTelCo Management, an iTT subsidiary holding a portfolio of long-term liabilities (including asbestos liabilities) and related insurance assets, to Delticus HoldCo, a portfolio company of Warburg PincusCross-functional collaboration supporting ITT HQ Finance, Tax, Treasury, HR, Insurance, IT & Cybersecurity teams:- amendment of ITT’s revolving credit facility- integration of ITT’s acquired businesses- review of earnings materials and SEC filings, including periodic reports, proxy statements and disclosures for share buybacks, dividends and stock trading- implementing global regulatory compliance and training programs, including antitrust and data privacy (GDPR, CCPA, etc.)- negotiate commercial and vendor contracts, IP arrangements, scientific development and collaboration agreements, MSAs, licensing and royalty agreements, profit sharing and financing arrangements, exec comp and management arrangements, employment and independent contractor agreements, leasing and real estate matters- manage litigation and disputes through settlement and trial
