CurrentI concentrate my practice on corporate transactions, with a focus on mergers and acquisitions for privately‑held companies. My representations include private equity funds, independent sponsors, strategic purchasers, founder and successor shareholders of closely-held businesses and management teams in connection with transactions in the middle‑market space. I have experience negotiating and drafting deals that are backed by representation and warranty insurance as well as traditional indemnification packages.I also have experience working with entrepreneurs and management teams in a corporate counsel context. I have drafted formation documentation for new ventures, including custom‑tailored limited liability company agreements. Additionally, I have directly handled or facilitated the preparation of the gamut of typical corporate actions, including board and shareholder approvals, internal restructurings/reorganizations and recapitalizations, equity incentive plan implementation and employment documentation.My experience further extends to negotiating, drafting and reviewing a range of commercial contracts, with particular experience regarding portfolio companies of existing private equity company clients.Across all representations, I focus on leading and working within well‑integrated, highly‑efficient core deal teams that also leverage the expertise of subject matter specialists throughout the Stevens & Lee platform.
