I advise NorthWestern Energy concerning corporate governance, SEC compliance, financing, and significant transactions. As Corporate Secretary, I formulate corporate governance strategy and educate our board of directors and executives on corporate governance best practices. In this role, my work has been recognized by the NYSE as the 2015 winner of Exemplary CD&A for a Compensation Committee; by Corporate Secretary magazine as the winner for Best Proxy Statement in 2019 and 2014 (and a finalist in 2012, 2013, 2016, 2017, and 2018), and a 2014 finalist for corporate governance professional of the year (small to mid cap); and by Forbes in 2013 for the third straight year as one of the 100 Most Trustworthy Companies, a recognition based on accounting and governance factors. I serve as the company’s lead counsel on SEC matters, responsible for legal review of all disclosures. I lead the strategy and drafting of our proxy statement, Form 8-K filings and all officer and director Section 16 filings.I also serve as lead NorthWestern counsel on material transactions, including over $4 billion of public and private debt and equity financings and asset acquisitions. Financings include equity offerings, secured mortgage bonds, unsecured revolving credit facilities, and a commercial paper program. Acquisitions include the company's transformative acquisition of eleven hydroelectric facilities in Montana, as well as renewable energy projects, natural gas reserves, and other strategic assets.My prior in-house experience includes creating the legal function and directing legal affairs as General Counsel for Barker Capital, a boutique investment bank specializing in the media industry, where I reduced outside counsel spending by over 60%. I spent the first nine years of my career at Skadden, one of the world's leading law firms, where I specialized in corporate restructuring, advising troubled companies, their investors and creditors with respect to bankruptcy and out-of-court workouts.
