General Counsel to construction management company, primarily concentrating on commercial, residential, hotel, institutional and healthcare facility development. Provide full array of counseling services, including: (i) negotiation of construction management agreements, subcontracts, licenses, estoppels, assignments, and various owner/lender agreements; (ii) analyze insurance policies/programs and coordinate insurance coverage for projects, including SDI, OCIPs, CCIPs, and Bonds; (iii) analyze third-party claims and determine tender and defense of same; (iv) manage outside counsel; (v) conduct employee training on contract issues, project risk management, ethics, and other employment matters; and (vi) advise executive personnel on enterprise risk concerns.

Advise real estate developers, design professionals, and construction management companies in transaction and litigation matters.

- Draft and negotiate AIA agreements; commercial leases; JV agreements; estoppels; subcontracts and license agreements;- Assist in the formation of corporate entities, including drafting articles of incorporation, partnership agreements, operating agreements, and buy-sell agreements; - Prepare motions; draft and respond to discovery requests; take and defend depositions; manage all stages of litigations, including co-chair at trials and appeals;- Represent clients in mediation and arbitration proceedings;- Manage and train junior level associates.
