• Advises and supports executives and managers of U.S. and Canadian entities in Fortune Global 100 Tokyo-based conglomerate on complex and routine legal and business issues. Manages outside counsel as necessary. • Serves as general in-house counsel for assigned internal clients (currently, six companies) in various industries. • Negotiates, advises on, drafts, and closes mergers and acquisitions, joint ventures, and various commercial and technology contracts (including financings, confidentiality, sales, distribution, agency, consignment, consultant, license, lease, and various other agreements). Addresses and resolves commercial disputes. • Advises on breadth of commercial issues, including antitrust, environmental, insurance, real estate, outsourcing, intellectual property, dispute resolution, bankruptcy, and collections.• Manages legal aspects of U.S. employment matters for corporate group covering entire employee life cycle, working closely with HR managers and team, with focus on recruiting and hiring, performance management, and wage and hour, accommodation, leave, independent contractor, and worker’s compensation issues. Plans and implements individual and group terminations and furloughs. Drafts and negotiates severance and release agreements. • Handles various discrimination and harassment claims (e.g., conducts internal investigations, deals with claimant’s counsel, responds to EEOC, attends mediations, and negotiates resolutions) and represents company in administrative proceedings. Drafts, negotiates, and advises on executive employment agreements, incentive compensation plans, trade secret protection, and restrictive covenants.
