Selected Accomplishments:Initial Public Offering – Successfully completed all aspects for initial public offering in March 1994. Responsibilities included SEC filing, investment banking analysis and investor relations for nine years as a public companySale to Private Equity firm – Successfully took company private with sale to a private equity firm in January 2003. Responsibilities included SEC and NASDAQ filings and providing information for valuation of company. Once acquired was key contact with Private Equity firm and attended all board meetings.Acquisitions – Completed seven successful corporate acquisitions, averaging three to four months per acquisition. Acquisitions contributed to shareholder value increasing by 300 percent in two and a half years. Responsibilities included pricing (in which I would help value the target), financing, due diligence, contract negotiation (I would uncover items during due diligence to leverage a price decrease), integration, and financial reporting all acquisitions. Budgeting – Created detailed annual and three-year corporate strategic business plan and financial budget that successfully drove organic and acquisition growth while controlling the cost of operations. Held all departments accountable to budget. Budget goals were exceeded for three out of three years. Collections – Led and participated in cash optimization, driving days outstanding in accounts receivable to the company’s lowest level in its history. Days outstanding were reduced by 68 percent from a high of 120 days to 38 days. Risk management – Responsible for all insurance programs.IRS audits – Managed six IRS audits over the 17 years with Prophet 21. Three of these resulted in no changes; the other three, in favorable settlements with the IRS.
