I am a successful business lawyer and former C-Suite executive with wide ranging experience in corporate transactions, finance and corporate governance. Over my career, I have been a corporate/M&A partner at two of the world’s leading international law firms, served as general counsel of a large NYSE-listed company, and held a senior management and M&A advisory position at a technology-focused boutique investment bank.I have deep expertise in a wide range of corporate transactions, including public and private mergers and acquisitions, private equity investing, debt restructurings, distressed investments and acquisitions, and capital markets transactions. I have worked with clients in a variety of industries, with a concentration in media and entertainment companies, technology companies, and real estate and hospitality companies. Over my career, I have represented a mix of public and private companies, boards of directors, private equity and hedge fund sponsors, and issuers and underwriters in hundreds of transactions, with transaction values ranging from several million dollars to over $40 billion. I have deep expertise as well in advising companies and investors in distressed and other complex “special situation” transactions. I have frequently counseled boards, including special committees, on governance and fiduciary duties, shareholder activism issues and securities law compliance, both in connection with discrete transactional matters and on an ongoing basis. Since retiring from full-time practice I have sought opportunities to serve my community and my long standing interest in healthcare. I have become a nationally registered Paramedic and EMS educator, licensed and practicing in Southwestern Connecticut. I am currently seeking a position on a Board of Directors or other appropriate short or long term opportunity where I can leverage my background and skills.
