Provided management of all legal matters including oversight of complex business transactions, anti-trust, HR, facilities, legal budgets, compliance, investigations and management of internal/external attorneys, paralegals and administrative staff.● Represented all aspects of the North American legal operations of Alcon (revenues over $4.5 billion), including a wide range of commercial and compliance issues.● Led a multi-year comprehensive compliance review of Alcon’s US business operations involving multiple functional departments; review included promotional practices, interactions with HCPs, grants, and other areas.● Led internal team defending against DOJ investigation focusing on promotional practices and interactions with HCPs.● Active member of the North American Leadership Team, responsible for commercial operations for US and Canada. ● Active member of Global Franchise Leadership Team, responsible for strategic planning and implementation across 3 separate business units.● Active member of Alcon Legal Leadership Team and Grants Committee.● Assisted during Alcon’s IPO in 2002 which raised $2.3 billion. Thereafter, handled various issues related to Alcon’s public company status (NYSE).● Represented Alcon during the Novartis acquisition of all Alcon outstanding stock (deal valued at approx. $51 billion).● Directed legal matters involving transactional, compliance and employment issues on a global basis. Previously represented Alcon Latin American markets. ● Managed a transaction involving a tender offer and take-over of WaveLight AG, a German publicly traded company, and the successful integration of that business. ● Led numerous acquisitions and divestitures of businesses or their assets, including merger control issues and HSR clearances.● Managed the Corporate Legal Department which included over 30 attorneys, paralegals and administrative assistants, as well as multi-million dollar operational and outside counsel budgets.

I joined Shannon, Gracey, Ratliff and Miller as a associate in their corporate legal department after graduating from Baylor Law School. I became a partner and handled a wide variety of legal matters, including contract drafting/negotiating, corporate governance, HR issues, litigation, and related issues in the healthcare sector.
