• Summary: Key member of the US Northeast legal team supporting a diverse northeast energy group with approximately $5 billion in assets. Involved in all aspects of the business, including but not limited to, legal matters, regulatory and compliance, asset operations, maintenance, and major projects, trading, business development and support for front, middle and back office operations.Details:• Draft, negotiate and review power purchase agreements with end-use electricity customers in New York and New England. Draft, negotiate and review power purchase agreement with utilities in Delaware, New England, and Mid-Atlantic regions• Draft, negotiate and review all procurement/supply chain agreements for products and services to support all functions of all power generation assets throughout New England, New York and Arizona. Advise internal clients regarding legal risks, recommend mitigation measures. • Draft, negotiate and review purchase and sales agreements for renewable energy credits for all jurisdictions in which electricity is supplied to end-use customers (Massachusetts, Connecticut, New Hampshire, Rhode Island, New Jersey, Pennsylvania, and Maryland). Draft, negotiate and review purchase and sale agreements for emission allowances, specifically Clean Air Interstate Rule (CAIR) NOx Allowance trading contracts. • Prepare regulatory applications for retail power supplier licenses in all jurisdictions in which business is conducted.• Negotiate various types of other agreements including, but not limited to, guaranty agreements, both issued and held, confidentiality agreements, trademark use and certification agreements, sponsorship agreements, and easement and temporary use agreements and license.• Participate in all legal facets of commercial business development endeavors.• Key functional area expert in TransCanada’s divestiture activities related to its US northeast merchant power business. • Legal research as required.

Draft and Negotiate all manner of procurement, electricity purchase and sales, and renewable energy certificate agreements. Draft and negotiate a variety of commercial transactions as required. Provide legal and business advise to internal clients at all levels.
