Achieved lifetime goal of traveling around the world for a year with my wife and son and then sailing the Caribbean as a family for more than three years on our catamaran, Dorothy Rose. Together, we grew as a family while visiting more than 30 countries across five continents and sailing more than 6,000 nautical miles throughout the Caribbean.

Developed a high-performing accounting organization with strong functional capabilities as the company transitioned from FDA clearance to a commercial stage company to its successful dual track sale to Teleflex for up to $1.1 billion of deal value in 2017. The UroLift product launch is one of the most successful medical device product launches in the last decade, with revenues growing from $4 million in 2014, the first year after FDA clearance, to ~$300 million in 2019.In addition to driving accomplishments noted in the intro: Partnered with CFO and functional heads to implement new ERP system (QAD).Successfully scaled the company’s systems, process and accounting team to support this rapid growth.Partnered with CFO in raising $75M in debt and $15 million in equity financing, including negotiating a very competitive debt financing structure.Partnered with the operations team to improve the company’s GMs from 13% in 2014 to ~80% in 2019. Worked with CFO and General Counsel to successfully implement Sunshine Act reporting.Assisted in due diligence process and partnered with CFO, bankers and attorneys to deliver “the most seller friendly merger agreement” they had seen. Oclaro was a publicly-traded optical laser manufacturer, with 3,000+ employees and vertically integrated manufacturing, assembly and test facilities. As Corporate Controller for Oclaro, completed five major acquisitions/mergers with operations in nine countries totaling $190 million in deal value. In the merger with Opnext, Inc. in July 2012, led Form S-4 process and SEC comment letter response. Also drove Form S-4 process on public-to-public merger with Avanex in 2009, resulting in the closing of this public-to-public merger 90 days after signing definitive agreement. With CFO, drove secondary offering at Oclaro in May 2010, raising $77 million, net – a deal that successfully priced on the day of the 2010 flash crash. Led renegotiation of Oclaro’s primary credit line in July 2011, upsizing facility from $25 million to $45 million and significantly improving key terms, including a 325 basis points reduction in the interest rate. In 2012, assisted in expanding the credit line to a $100 million facility. In December 2012, assisted in raising $25 million in secured convertible notes and the divestiture of two product families for $27 million.Responsibilities included treasury and insurance/risk management as well as shared responsibilities with CFO for SOX and Tax.

Recruited by both a 50% owner and the primary bank lender to lead a complete finance turnaround of two large automobile dealership groups, with 100+ employees, $120 million in annual revenues and eight franchises. Investigated fraudulent financial accounting, misappropriation of assets, and inadequate management control practices by an owner and members of senior management. Reported directly to one owner on daily basis. Kept the business running through a challenging period, closely managing the relationship with the lender to avoid their calling the credit line and shutting the business after a bank audit showed indicators of fraud. Uncovered and corrected more than $5 million in financial statement irregularities. Uncovered more than $100,000 in misappropriation of assets. Recovered significant percentage of assets.

Established financial accounting structure for parent company and three subsidiaries. Managed acquisition of primary subsidiaries (deal value of $10 million) and worked with lenders in establishment of primary credit facility.

Reported to CEO and VP, Finance in managing the acquisition process for FirstAmerica Automotive, closing nine dealership acquisitions and assisting in eight additional acquisitions with a total deal value over $135 million. Reported to COO for FP&A and monthly operational analysis for 20 dealerships. Developed company-wide FP&A reporting and implemented best practices using internal and industry benchmarks. Assisted in establishing $350 million credit facility. Responsible for all prospective financial information used in road show and Form S-1 to support FirstAmerica Automotive’s attempted $91 million IPO. Assisted in road show presentation and script development for CEO, CFO and COO. Led acquisition transition efforts for in-process acquisitions during and after Sonic Automotive’s purchase of FirstAmerica Automotive in 2000.
