An audit partner in the Denver office of Deloitte & Touche, Trent has nearly 25 years of diversified public accounting and auditing experience serving clients primarily in the energy, manufacturing, retail, commercial service and hospitality industries. Much of his experience includes serving public entities involved in oil and gas exploration, gas gathering and processing, and drilling services. Trent has significant SEC experience with both 1933 Securities Act and 1934 Exchange Act filings and transaction experience including public IPO’s, private offerings and business combinations. Trent spent three years leading Deloitte’s Global Offerings Services Center in Mexico City. Trent is a proven professional who exercises a high degree of discretion, mature judgment and tact in handling sensitive and complex issues. Leadership accomplishments include:• For two years, served as partner-in-charge of Denver Recruiting overseeing the hiring of approximately 20 audit professionals annually. For four years, lead recruiting partner at University of Colorado.• For two years, leader of Denver IFRS Conversion/Implementation practice.• For three years, partner-in-charge of learning for the Denver audit practice responsible for the oversight & deployment of professional training for 150 audit personnel.• For two years, advisory partner to Denver’s Women’s Initiative and Diversity & Inclusion for audit function.• Over ten years, instrumental in the significant growth of the Denver energy audit practice.• Instructor for National-level professional education/training seminars.• Practice Review Internal Inspection Leader of selected Canadian Oil & Gas SEC Registrants.• Recognized Quality leader – over ten years, continuously appointed as engagement quality control reviewer for numerous public registrants and “special partner reviewer” for clients planning initial equity or debt registration statements resulting in a reduction of the firm’s risk.

For over seven years, Trent served as a highly dedicated and active member of the Board and Finance Committee of COGA which is a nationally recognized trade association whose purpose is to foster and promote the beneficial, efficient, responsible, and environmentally sound development, production, and use of Colorado’s oil and natural gas resources.

During Trent’s five year tenure as COGA Treasurer and Chairman of Finance Committee, the services COGA provided grew exponentially and the annual operational budget grew five-fold. Some of the responsibilities included: • oversight of the annual budget process, • leading of monthly Finance Committee meetings comprised of executive level management from member companies, • monthly review and analysis of profit & loss, balance sheet and projected cash flow statements, review, • approval of significant contracts, • collaborating with COGA staff and outside service providers, and • communicating Finance Committee recommendations associated with contemplated strategic initiatives to the B.O.Ds. Trent also supervised the development and adoption of COGA’s Investment and Cash Reserve Policy outlining the processes and controls to achieve financial flexibility and stability while earning a desired rate of return.

Partner leading Global Offerings Services Center in Mexico City, specializing in assisting multi-national companies in applying U.S. accounting standards and in complying with the SEC’s financial reporting rules. Trent led a group of professionals (50% expatriates & 50% Mexican professionals) serving numerous Mexican subsidiaries of U.S. multi-national companies (e.g. General Motors, Procter & Gamble, Delphi Automotive, Nabisco, DaimlerChrysler, Kimberly Clark), nine Foreign Private Issuers that have reporting requirements with the SEC and Mexican based companies with plans to access the U.S. financial markets for capital via public or private offerings of securities. Additionally, Trent was in charge of quality control in Mexico related to U.S. GAAP and Mexican GAAP financial reporting translated into English and the delivery of U.S. GAAP and SEC national training in Mexico, Brazil and Panama. Trent also performed due-diligence/risk management procedures associated with Deloitte’s assessment of a regional accounting firm and the merger of Arthur Andersen’s Mexican practice with Deloitte’s Mexican practice.
