Responsible for the global M&A activity of the company including:• Developing growth through a targetted M&A strategy principally directed to global energy and telecommunications enterprise software markets• Provide end-to-end leadership to all transaction closures: evaluation against financial and risk parameters, facilitate approval, negotiate, due diligence, documentation and present investment decisions to the board/ executive committee• Researching and building market understanding of Hansen's acquisition target profile and initiating vendor/competitor off-market contact• Developing alliances/networks that result in high quality deal flow with the Big 4 and boutique merchant banking firms including Jefferies, Mooreland Partners, AGC Partners, Fairmount/Regent Partners, Raymond James, Torch Partners and M&A aggregators Mergers Alliance and the M&A International Network• Developing a strong network of deal opportunities through trade show attendence and the nuturing of informal networks• Leveraging market sources including S&P’s Capital IQ real-time corporate intelligence tool to identify and manage targets and Axial Markets• Financial modelling including valuation, DCF, market multiples valuation• Co-ordination of share/asset sale agreements including negotiation of representations, warranties/guaranties, IP, HR, sub-contracting arrangements, transition services, working capital adjustments• Presenting key development opportunities to the Board and other stakeholders• Coordinated stakeholder communications strategy at acquisition settlement and post-acquisition• Assist Finance Team in intangible asset valuation and purchase price allocation• Providing interim management leadership to newly acquired divisions and entities• Delivering multiple successful direct and carve-out acquisitions in Miami, Florida; New York, New York; Amsterdam, Netherlands; Melbourne, Australia and Atlanta, Georgia
