Area of work: Real estate and general corporate- Legal due diligence & compliance - (i) Carried out requisite filings in relation to RERA and other statutory bodies like town planning, MCGM, etc. (ii) Assisting external counsel in preparing, and review of title reports of properties located in various states, including Goa, Maharashtra, Karnataka and Uttarakhand.- Documentation - Drafting of joint development agreement, conveyance deed, agreement for sale etc.- Corporate Structuring and investment planning - (i) Structuring of fractional ownership of residential properties in light of various applicable laws, such as FDI norms, FEMA, tax laws, SEBI collective investment scheme, etc. (ii) Structuring of Alternate Investment Fund to invest in residential assets both in India and off-shore. (iii) Structuring of investment model whereby the investors will be holding equity shares in the SPV wherein the real estate asset would be housed (thereby creating a fractional ownership over such assets), such shares may carry differential voting rights, (iv) planning a similar structure as mentioned in (iii) involving CCDs.- General Corporate - Incorporation of a private company/ LLPs, drafting and negotiating ofconstitutional documents with shareholders, drafting of share subscription agreement, shareholders agreement.

Area of work: General corporate and data privacy- Digital Banking - Drafting and reviewing of payment gateway service agreements. Research and preparing process note on scope of activities of payment gateways and aggregators.- Telecom Services Procurement Agreements - Drafting and reviewing of service procurement agreements, terms of renewal, novation of existing terms based on pending vendor performance obligations, engaged in negotiations for finalization of terms.- Data Privacy and Technology Agreements - Drafting and reviewing terms of use, cookie policy, privacy policy catering to European Economic Area & Switzerland and California. Negotiate terms relating to Commercial Development Obligations.- Due Diligence - Legal due diligence of requisite permits, license, deeds and documents as required for initiating such real estate projects and preparing reports for review of potential investors/financers.- Smart City Bid Project - Assisted and advised on preparing bid documents for a township/smart city project for submission before Jhansi Urban Development Authority.- Advisory - Advising business and operation teams on laws and polices including SARFAESI, FEMA, IBC, etc.
