I focus my practice on mergers and acquisitions (M&A), including private equity and growth equity transactions, as well as corporate finance, emerging company formation and financing, public company governance, and general corporate matters. My clients include strategic buyers and sellers as well as financial sponsors and their portfolio companies in the life sciences, financial services, and technology sectors. I regularly advises on complex corporate transactions, and has experience in international and cross-border matters.I am a member of the District of Columbia, New York and Massachusetts Bars and also admitted to practice before the Supreme Court of the United States.

I am an adjunct professor teaching a law school seminar entitled Takeovers, Mergers and Acquisitions. The course provides students a framework for students to understand the merger and acquisition environment, to analyze M&A transactions, to develop opinions about them, to design M&A transactions, including friendly deals, hostiles, leveraged buyouts, mergers of equals, and cross border situations and covers topics such as the structures commonly used in M&A transactions, securities laws affecting M&A transactions, strategies employed by the acquiring company and the target firm in negotiating an acquisition, the roles and responsibilities of stakeholders in responding to an acquisition proposal, takeover defenses employed by target companies, the structure of an acquisition agreement, and the techniques for effective drafting of transaction documents.
