Green Field Manufacturing Projects:• Drafting and executing NDAs, MOUs, and JV agreements in coordination with Lawyers• Setting and tracking TORs of Market Study (Nielson) and incorporating the findings in FM• Developing Financial Models for making investment decisions• Setting up a SPV with tax, SEC, and chamber registrations• Leading the BOD meetings for investment approval as CFO• Arranging Project finance including term sheet and loan agreement finalization with lawyers• Regulatory investment approval in AGM and from SEC• Leading the project closure activities and meetings2. Mergers, Acquisitions & Disposals Projects:• Evaluating findings of due diligence reports and developing financial models or performing business valuations to assist investment decisions• Tracking and managing Shareholder, Put/Call Option agreements with investors• Developing Financial Models to assist investment decisions• Ensuring the regulatory compliance of business combinations• Doing business valuations using EBITDA multiple, DVM, EBV, cashflow based valuations techniques• Lead 25m USD project financing arrangement from Internal Finance Corporation (IFC) including financial review, term sheet finalization, environment protection technical review and loan agreement finalisation• Liaison with all Foreign Subsidiaries in South Africa, Sri Lanka, Canada and Mauritius over financing, product-pricing, performance review and cost saving initiatives.• Leading de-merger activity: - setting up the central approach, - developing a strategy for change management - selling the change to all stakeholders (employees, labour union, banks, shareholders, BODs etc.) - identifying the tax impacts and vetting the same from a tax consultant - coordinating with transaction advisor to ensure regulatory compliance - assessing and mitigating the financial and accoutring impacts Show less
