Educated as a banker and qualified as a German lawyer since 1995, I have >25 years extensive transaction experience in cross-border and domestic corporate and financial restructurings and private equity (PE) investments in both sound and distressed assets. Further, I have advised inbound financial and strategic investors on a number of complex real estate transactions in the German market. Having advised in multiple complex PE-investments of financial sponsors in German financial institutions (e.g. banks and payment servicers), I have gained a broad and market-known experience in all structural and regulatory aspects of such transactions and the relevant clearance proceedings with ECB and the NCAs, such as German BaFin and other NCAs in the European Single Supervisory Mechanism (SSM).In the German restructuring market, I was involved as lead counsel in different market segments inter alia in the following landmark transactions: (a) Distressed Debt Restructurings/Debt-Equity-Swaps: (i) Advised financial investors on complex cross-border €1.6 billion debt restructuring of publicly traded Pfleiderer AG, first large case to apply the German 2012 ESUG regime and its debt-equity-swap and taking private features; (ii) advised financial investors on restructuring potential of senior debt positions in IVG Immobilien AG; (iii) advised clients on a variety of other international restructurings, incl. A.T.U. Group, Syncreon and Thomas Cook/Condor. (b) Restructuring of Financial Institutions/Distressed M&A/PE: (i) Advised on first acquisition of a distressed German bank (AHBR) by a PE investor aiming at restructuring of the bank not by the German bank industry itself, (ii) advised on its subsequent recapitalization and successful exit of renamed and repositioned CCB Bank to a publicly traded German mortgage bank; (iii) advised on the first acquisition of control over a distressed Portuguese bank by a PE investor from the Portuguese Resolution Fund; (iv) advised on the acquisition of a German payment servicer Group by a consortium of PE investors and its subsequent merger with a PE controlled pan-European strategic playerOther transaction experience includes (a) Non-Performing/Sub-Performing Loan Transactions (NPL/SPL): Advised multiple financial investors on investments in and acquisition of complex German loan portfolios, and (b) Real Estate Transactions: advised multiple financial and strategic investors on the acquistion and recapitalisation of German commercial properties and real estate portfolios
