Description of practice: • Extensive experience in advising on M&As, securities and capital markets law, with substantial track record in primary listings and secondary offerings of securities, acquisitions of and take-over bids for listed and private companies. • Co-ordination as Team Leader of international and/or cross border transactions, with the involvement of international investors, international counterparties and international advisors.• Substantial experience in structuring and financing of M&A transactions, including take-over bids and advises listed and private companies on day to day governance and compliance requirements. • Banking and Finance Practice, including advising on corporate financings, acquisition finance and bond issues.• Project finance of energy and solar projects (both from Bank’ side and investors’ side). • Advising international investors local companies and international corporations on restructuring (tax efficient investment platforms, mergers, de-mergers, spin-offs) and providing legal support at all stages of corporate transformation.• Drafting and negotiation of share sale and purchase agreements and shareholders’ agreements in English, German and Greek. • Advising institutional investors on the acquisition and day-to-day operation of their solar and energy projects in Greece. Representation of clients before and communication with the competent Greek authorities (Regulatory Authority of Energy) on licensing and subsidies issues.• Advise in complex Real Estate Transactions, structuring of transaction, conduct and co-ordination of relevant due diligence, drafting and negotiation of transactional documents.• Establishment of in-house legal departments and supervision of in-house counsels.• Legal Due Diligence on various types of companies.
